Terms of Service

topboards is a public market for paid rankings ("boards"), owned and operated by Refounding Labs LLC ("topboards," "we," "us"). Each board ranks people, companies, creators, products, or other entities by the money backing them. By using topboards you agree to these Terms and to the Topboards Rules, which are part of these Terms. These Terms are a binding agreement and include an arbitration agreement and class-action waiver in Section 18. If you don't agree, don't use the service.

You must be at least 18 and able to form a binding contract. You must not be located in, or a resident of, a country or on any list that applicable sanctions or export laws prohibit us from dealing with, and you must not use topboards for any unlawful purpose. You're responsible for your account and everything done through it; provide accurate information and keep your credentials secure. We may refuse, verify, limit, or close any account to protect the service or comply with law.

A topboards purchase buys the ranking, points, or other board effect shown before checkout. Purchases are made to topboards. Unless a board explicitly states otherwise, the entity being ranked does not receive the purchase amount, and a purchase is not a donation, tip, investment, ownership interest, or payment to the ranked entity. A purchase is a contribution to a public rank, not a purchase of goods or services.

By paying, you authorize the charge, confirm you are the authorized cardholder or account holder, and agree to the amount shown at checkout. Charges are processed by our payment provider and may appear on your statement as "topboards" or "Refounding Labs." The rank effect is a digital service delivered immediately once payment completes. You expressly request and consent to that immediate performance and, to the fullest extent permitted by law, acknowledge the purchase is non-refundable and waive any cooling-off, cancellation, or right-of-withdrawal period that would otherwise apply to digital content or services once performance has begun.

Buying a position does not guarantee visitors, clicks, followers, sales, conversions, revenue, media coverage, or continued possession of a rank. Other participants may overtake your position at any time while a board is active. That competition is part of the product. topboards measures paid backing, not objective worth, and does not promise that paying for a rank will make you successful.

Each board defines a measurable ranking system and may publish tie-breaking rules. Rankings are determined by paid backing totals and may change at any time as participants back positions.

Because a purchase immediately affects a public ranking and is delivered instantly, all purchases are final and non-refundable once the purchased effect has been delivered, except where required by law or where topboards determines in its discretion that a genuine error occurred. Being outbid, changing your mind, or dissatisfaction with the competitive outcome are not grounds for a refund.

If you believe a charge is wrong, contact us first at hi@topboards.lol and we'll work with you in good faith. You agree not to initiate a chargeback, payment dispute, or reversal for reasons within these Terms (including buyer's remorse or being outbid) without first giving us a reasonable opportunity to resolve it. Because our record of each transaction is transparent and timestamped, we will contest disputes we believe are illegitimate and may submit that record as evidence.

If a payment is refunded, reversed, or charged back, we may reverse the associated points, rank contribution, supporter credit, promoter attribution, and promoter earnings. A chargeback or dispute that we determine to be improper is a breach of these Terms, and we may suspend or terminate your account, remove your rankings and any credits, forfeit unpaid earnings, and recover from you the disputed amount, any chargeback or processing fees we incur, and our reasonable costs of collection. We may also use fraud screening, verification, holds, or purchase limits, and decline or reverse transactions that create risk to the platform.

Eligible users may receive a unique referral or promoter link. topboards may attribute qualifying users and their eligible activity to the referring promoter for a defined attribution period. Follower counts or claimed reach do not determine payout; actual qualifying activity does. Where a board offers promoter payouts, the applicable rate is set per promoter and shown in your dashboard, may differ between promoters, and a change to standard rates for new promoters does not reduce a rate already established for an existing promoter.

Payouts are calculated from net eligible revenue, which excludes refunds, chargebacks, disputed, fraudulent, or reversed transactions, taxes and processing fees, self-referrals, and prohibited activity. Any earnings shown before payout are estimates only and do not become payable until the underlying transactions have cleared a hold period during which they may still be refunded, disputed, or reversed; we may hold a reserve and delay or withhold settlement for refunds, disputes, fraud review, verification, or payment reversals.

If a transaction attributed to you is later refunded, charged back, reversed, or found invalid after commission has accrued or been paid, we may deduct the associated commission from your balance. If your balance is insufficient, the amount becomes a negative balance we may offset against future earnings or recover from you. Payouts may be subject to a minimum threshold and are made through our payment provider, subject to that promoter's terms and identity/verification (KYC) requirements. You are solely responsible for any taxes on amounts you receive.

Do not manipulate topboards through bots, fake visitors, click farms, fraudulent or stolen cards, automated or fake accounts, coordinated fake bidding, fabricated referrals, or payment abuse. You may not use promoter links, alternate identities, related accounts, or coordinated transactions primarily intended to create artificial commissions or manipulate attribution. topboards may remove invalid traffic, transactions, attribution, rankings, earnings, or accounts associated with such activity, and pursue any losses caused by it.

topboards may publicly display board and participant statistics, including rankings, backing amounts, points, views, visitors, clicks, supporter counts, rank changes, promoter contribution, and historical performance. These numbers may be updated, corrected, filtered, or adjusted when fraudulent or invalid activity is detected.

You keep ownership of the content you submit (entries, links, names, logos, messages, profile details). You grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute it as part of operating and promoting the service. You represent that you have the rights to submit it and that it does not infringe or violate anyone's rights.

If you believe content on topboards infringes your copyright or trademark, or if you are (or represent) a ranked entity and want a listing about you reviewed or removed, email hi@topboards.lol with the details and the URL. We respond to valid notices, may remove or disable the content at our discretion, and may terminate accounts of repeat infringers. Submitting a listing about a third party does not imply their involvement (see Section 12).

Being listed on a board does not necessarily mean the ranked entity created or approved the listing, participates in, endorses, or receives money from topboards. Nothing on topboards implies endorsement unless explicitly stated. Board entries may link to third-party sites we don't control and aren't responsible for; clicking is at your own risk.

topboards is not a popularity poll, an objective ranking, a prediction market, or gambling. You are not wagering on an uncertain outcome or receiving a cash prize for finishing first; a purchase creates a defined ranking or promotional effect on the applicable board.

topboards may reject or remove listings, content, or activity involving illegal goods or services, fraud or impersonation, unlawful harassment, deceptive claims, intellectual property violations, payment abuse, anything our payment providers prohibit, or activity that creates material legal, safety, or platform risk. No adult content on non-adult boards, and no chat/invite links or link shorteners. We may remove a listing or account when reasonably necessary to protect the platform or its users.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless topboards and its owners, officers, and staff from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the service, your content or listings, your violation of these Terms or of any law or third-party right, or any chargeback, dispute, or fraud associated with your payments.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, topboards is not liable for any indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue, and our total liability for all claims relating to the service is limited to the greater of the amounts you paid us in the three months before the claim or US$100.

You may stop using topboards at any time. We may suspend or terminate access for violations of these Terms, non-payment, chargeback or fraud activity, or to protect the service. Sections that by their nature should survive termination (including Purchases, Refunds/chargebacks, Promoter clawback, Indemnification, Disclaimers/liability, and Dispute resolution) survive.

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Except where prohibited by law, any dispute relating to topboards will be resolved by binding individual arbitration seated in California and administered under the rules of a recognized arbitration body, rather than in court, and you and topboards waive any right to a jury trial. You and topboards agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class or representative action. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief for misuse or intellectual-property claims in the state or federal courts located in California, to whose jurisdiction the parties consent. If the class-action waiver is found unenforceable, the rest of this section still applies.

Board-specific rules may add to or, where they clearly conflict, override these general Terms. We may update these Terms; continued use after an update means acceptance. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms and the Rules are the entire agreement between you and topboards regarding the service.
